Affiliate Program Terms of Service

This Affiliate Program Agreement (“Agreement”) is entered into between Netcrawled LLC (“Company,” “we,” “us”) and you (“Affiliate,” “you”) upon your enrollment in the BTGuard Affiliate Program (“Program”). By signing up, you confirm that you have read, understood, and agree to be bound by these terms.

1. Program Overview

The BTGuard Affiliate Program allows approved affiliates to earn referral commissions by promoting BTGuard VPN and proxy services through unique tracking links provided by the Company.

2. Enrollment & Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction).
• You must provide accurate and complete registration information.
• We reserve the right to accept or reject any application at our sole discretion.
• Each individual or entity may maintain only one affiliate account.

3. Affiliate Links & Tracking

• You will receive a unique referral code and tracking link upon approval.
• Commissions are only attributed through properly formatted affiliate links or codes.
• We use cookies to track referrals. Cookie duration and attribution rules are set at our discretion and may change.
• You are responsible for ensuring your links are implemented correctly.

4. Commissions & Payment

• Commission rates, structures, and qualifying actions are published on your affiliate dashboard and may be updated by the Company at any time with reasonable notice.
• Commissions are earned on qualifying paid subscriptions referred through your links.
• Commissions are subject to a maturation (hold) period before they become payable, to account for refunds, chargebacks, and fraud review.
• Minimum payout thresholds apply. Unpaid balances below the minimum carry over to the next payment cycle.
• Payments are made via the method you selected during registration (PayPal, wire transfer, or cryptocurrency) on a monthly or net-30 basis.
• You are responsible for any taxes, fees, or obligations arising from commissions received.
• Self-referrals (signing up through your own link to earn a commission) are prohibited and will result in commission reversal.

5. Reversals & Adjustments

We reserve the right to reverse or adjust commissions in the following cases:

• The referred customer obtains a refund or initiates a chargeback.
• The referral is determined to be fraudulent, incentivized, or in violation of this Agreement.
• A technical error resulted in incorrect commission calculation.

6. Promotional Guidelines

You may promote BTGuard through your website, blog, social media, email (to your own opt-in lists), or other lawful channels, subject to the following restrictions. You must NOT:

• Use paid search ads that bid on “BTGuard,” “BT Guard,” or confusingly similar brand terms without prior written permission.
• Create websites, domains, or social media accounts that impersonate BTGuard or Netcrawled LLC.
• Send unsolicited commercial email (spam) or use any form of unsolicited bulk messaging.
• Make false, misleading, or unsubstantiated claims about BTGuard’s services.
• Use cookie-stuffing, ad injection, browser toolbars, pop-unders, malware, or any deceptive method to generate referrals.
• Incentivize clicks or sign-ups (e.g., “click my link and I’ll pay you”) unless explicitly approved in writing.
• Promote BTGuard on sites containing illegal content, hate speech, or content that could harm the BTGuard brand.
• Violate any applicable law, regulation, or third-party terms of service in connection with your promotional activities.

7. FTC & Disclosure Requirements

You must comply with the U.S. Federal Trade Commission (FTC) Endorsement Guides and any equivalent regulations in your jurisdiction. This means you must clearly and conspicuously disclose your affiliate relationship with BTGuard wherever you promote our services (e.g., “I may earn a commission if you purchase through my link”).

8. Intellectual Property

• We grant you a limited, non-exclusive, revocable license to use BTGuard trademarks, logos, and approved marketing materials solely for the purpose of promoting BTGuard under this Program.
• You may not alter our trademarks or use them in any way that implies endorsement, sponsorship, or ownership beyond the affiliate relationship.
• All intellectual property in BTGuard’s services, website, and marketing materials remains the sole property of Netcrawled LLC.

9. Term & Termination

• This Agreement begins when your affiliate application is approved and remains in effect until terminated by either party.
• Either party may terminate this Agreement at any time, for any reason, with or without cause.
• Upon termination, all rights granted to you under this Agreement cease immediately.
• Earned and matured commissions will be paid out according to the normal payment schedule, provided no violations have occurred.
• We reserve the right to withhold or forfeit unpaid commissions if termination results from a breach of this Agreement or fraudulent activity.

10. Modification of Terms

We may modify this Agreement at any time. Material changes will be communicated via the email address on your affiliate account or posted on this page. Your continued participation in the Program after changes are posted constitutes acceptance. If you do not agree with any modification, your sole remedy is to terminate your participation.

11. Limitation of Liability

To the maximum extent permitted by law, Netcrawled LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your participation in the Program. Our total liability under this Agreement shall not exceed the amount of commissions actually paid to you in the six (6) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Netcrawled LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, your promotional activities, or your violation of any law or third-party rights.

13. Relationship of Parties

You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and Netcrawled LLC. You have no authority to bind the Company in any way.

14. Confidentiality

Commission rates, conversion data, and any non-public information shared through the affiliate dashboard or communications are confidential. You may not disclose this information to third parties without our prior written consent.

15. Governing Law & Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Wyoming, and both parties consent to personal jurisdiction in those courts.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and Netcrawled LLC regarding the Affiliate Program and supersedes all prior or contemporaneous agreements, understandings, or representations. If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force and effect.
